Terms of Use

These terms govern access to gazellehk.com and any inquiry, quotation, sample or order between you and Gazelle Enterprises Ltd. They are written for business customers. By using the site or submitting an inquiry you accept them; if you do not accept them, do not use the site.

1. About these terms

“Gazelle”, “we”, “us” means Gazelle Enterprises Ltd, a company registered in the Hong Kong SAR. “You” means the business entity accessing the site or placing an order, and the individual doing so on its behalf. You confirm that you have authority to bind that entity. These terms apply together with any written quotation, order confirmation, specification or contract we issue; in case of conflict, the signed contract prevails, then the order confirmation, then the quotation, then these terms.

2. Website information

Content on this site is provided for general business information. Product images, colours, specifications, MOQ indications, lead times and capacity statements are indicative unless confirmed in a written quotation or order confirmation. Nothing on the site is an offer capable of acceptance; a contract is formed only when we confirm an order in writing. We may change, suspend or withdraw any part of the site without notice and do not warrant uninterrupted or error-free availability.

3. Quotations

Quotations are valid for 30 days unless stated otherwise, are based on the specification and quantities provided, and may be revised if materials, artwork, quantities, destination, duties or delivery requirements change. Quotations exclude taxes, duties, freight, insurance and bank charges unless expressly included. Samples, tooling, moulds, plates and set-up costs are chargeable unless agreed otherwise. Quotations are issued in USD, HKD or CNY; other currencies are available by agreement, subject to exchange-rate adjustment.

4. Orders, payment and delivery

An order is accepted only by our written order confirmation. We may refuse or cancel an order where specifications are incomplete, artwork rights are unclear, quantities are uneconomic, sanctions or export controls apply, payment terms are not met, or we reasonably consider the order unlawful or commercially unsafe. Payment terms are stated in the quotation or order confirmation; unless agreed otherwise, deposits are non-refundable once production or material purchasing has begun. Prices exclude taxes, duties and import/export charges. You are responsible for obtaining any import or export licences and for destination labelling, testing, certification and regulatory compliance; we provide documents for the product and site, not a guarantee of admission to your market. Delivery dates are estimates made in good faith and depend on timely approval of samples, artwork and materials; time is not of the essence unless expressly agreed in writing. Risk and title pass as stated in the order confirmation or the Incoterms named there. If you do not object in writing to the order confirmation or specification within 2 business days, they are deemed accepted.

5. Samples and approval

Where a sample is required, bulk production follows the approved sample and the written specification. You are responsible for approving the sample and for checking fit, colour, artwork, labelling and packaging. Minor tolerances customary in the industry apply. Changes requested after approval may change price and lead time and require a new approval.

6. Intellectual property

All site content, photography, designs, text, logos and software are owned by Gazelle or used with permission and are protected by copyright, trade-mark and other laws. You may view and print pages for internal business evaluation only; you may not copy, scrape, republish, sell or create derivative works without our written consent. “Gazelle” and associated marks may not be used without permission. Third-party names, brands and certification marks remain the property of their owners and are used only for factual identification.

7. Customer materials and indemnity

You retain ownership of artwork, designs, logos and specifications you provide. By sending them you grant us a non-exclusive, royalty-free licence to use, reproduce, modify and have them manufactured for the purpose of quoting, sampling and producing your order. You warrant that you own or are licensed to use all materials you provide and that their use does not infringe any third-party right. You agree to indemnify and hold Gazelle, its directors, officers, employees and agents harmless on a full indemnity basis against all claims, losses, damages, liabilities, costs and legal fees arising from materials, artwork, instructions or specifications you supply, or from your breach of these terms, including intellectual-property claims.

8. Acceptable use

You must not use the site unlawfully; scrape, crawl or harvest data at scale; probe or bypass security; introduce malware; impersonate another person or entity; send content that is defamatory, infringing, misleading or unlawful; or use the site to order goods that infringe third-party rights. We may suspend access and refuse orders where we reasonably believe these rules are breached.

9. Third-party links and services

The site may link to third-party sites or use third-party services. We do not control and are not responsible for their content, availability or privacy practices. Links are not endorsements.

10. Disclaimers

To the maximum extent permitted by law, the site and all content, pre-contract quotations, samples and information are provided “as is” and “as available”, without any representation, warranty or condition, express or implied, including merchantability, fitness for a particular purpose, compliance with any law or standard, or non-infringement. Any guidance, suggestion or technical opinion we give is informational only and does not form part of the contract unless expressly incorporated in writing. You are responsible for determining that the products and specifications are suitable for your market, including import, labelling, testing and certification requirements. We do not warrant that the site will be uninterrupted, secure or error-free. Nothing in these terms excludes liability that cannot lawfully be excluded. No sample, image, estimate, lead time, capacity figure, certification statement or oral or written advice creates a warranty or representation; you rely solely on the written specification and order confirmation.

11. Limitation of liability

To the maximum extent permitted by law, all warranties, representations and conditions not expressly set out in the written order confirmation are excluded. We are not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill, data or business opportunity. Our total liability in connection with an order is limited to the amount paid to us for that order. Nothing in these terms excludes liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded.

12. Confidentiality, force majeure and termination

Each party will keep confidential the other’s non-public business, technical and commercial information and use it only for the relationship, except where disclosure is required by law. Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, epidemics, war, civil unrest, strikes, government action, utility or transport failure, or material shortages. We may suspend or terminate access or an order if these terms are breached, if payment is overdue, or if required by law; provisions on IP, confidentiality, liability, indemnity and governing law survive. This includes customs, port and shipping delays.

13. Governing law and general

These terms and any non-contractual obligations arising from them are governed by the laws of the Hong Kong SAR, and the courts of Hong Kong have exclusive jurisdiction, without prejudice to any mandatory consumer or local law that applies. If any provision is invalid or unenforceable, the remainder continues in effect and the invalid provision shall be replaced by a valid one achieving the intended commercial result as closely as possible. Failure to enforce a right is not a waiver. You may not assign or transfer these terms without our written consent; we may assign to an affiliate or successor and may use subcontractors or affiliated sites. You may not set off any claim against amounts due to us. Nothing in these terms creates a partnership, agency, joint venture or employment relationship, and no third party has any right to enforce them. You will comply with applicable anti-bribery, sanctions and export-control laws. Notices must be in writing to the addresses on this site or in the order confirmation. These terms, together with the documents referred to above, are the entire agreement between us on their subject matter and supersede prior discussions; no oral statement or website content varies them. The English version prevails over any translation. We may update these terms; the version in force is the one published when your order is confirmed.
